Welcome to OpenInventory. By accessing or using our service, you agree to be bound by these Terms of Service and our Privacy Policy. Please read them carefully.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OpenInventory ("Company," "we," "us," or "our"), governing your access to and use of the OpenInventory web application available at openinventory.app and any related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

OpenInventory is a cloud-based inventory and sales management platform designed for small businesses, market traders, and retail operations.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorised use of your account or any other breach of security.

3.3 Organisation Accounts

If you create an organisation account and invite other users, you are responsible for ensuring those users comply with these Terms. Organisation owners are responsible for managing access and permissions within their organisation.

4. Subscription and Payment

4.1 Free and Paid Plans

The Service offers both free and paid subscription plans. The free plan includes limited features, while paid plans ("Pro") offer additional functionality as described on our pricing page.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are quoted in USD and are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Payment Processing

Payments are processed by Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service. We do not store your full payment card details on our servers.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

5. User Conduct and Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to any part of the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to transmit any viruses, malware, or harmful code
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts or bots to access or interact with the Service
  • Share your account credentials with third parties
  • Use the Service in any manner that could damage, disable, or impair the Service

6. Data and Privacy

6.1 Your Data

You retain all rights to the data you upload, create, or store using the Service ("User Data"). By using the Service, you grant us a limited licence to process and store your User Data solely for the purpose of providing the Service.

6.2 Data Processing

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

6.3 Data Retention

Upon account termination, we will retain your User Data for a reasonable period to allow for data export. After this period, User Data may be deleted in accordance with our data retention policies.

7.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by OpenInventory and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, subject to these Terms.

7.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to compensate you, and you hereby assign all rights in such feedback to us.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant the accuracy or completeness of any information provided through the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPENINVENTORY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorised access, use, or alteration of your transmissions or content

Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless OpenInventory and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any claim that your User Data caused damage to a third party

11. Modifications to Service and Terms

11.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11.2 Terms Changes

We may revise these Terms from time to time. The most current version will always be available on our website. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

13.2 Jurisdiction

You agree that any legal action or proceeding between you and OpenInventory shall be brought exclusively in the courts of England and Wales, and you consent to the jurisdiction of such courts.

13.3 Informal Resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at support@openinventory.app. We will attempt to resolve the dispute informally within 60 days.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and OpenInventory regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
